provisions of the conveyance.<\/p>\n<p>Conveyance clauses. Conveyance clauses describe the details of the transfer.<br \/>\nThe principal conveyance clauses are:<br \/>\n\uf034 Granting clause, or premises clause<br \/>\nthe only required clause; contains the conveyance intentions;<br \/>\nnames the parties; describes the property; indicates nominal<br \/>\nconsideration<br \/>\n\uf034 Habendum clause<br \/>\ndescribes the type of estate being conveyed (fee simple, life, etc.)<br \/>\n\uf034 Reddendum clause, or reserving clause<br \/>\nrecites restrictions and limitations to the estate being conveyed,<br \/>\ne.g., deed restrictions, liens, easements, encroachments, etc.<br \/>\n\uf034 Tenendum clause<br \/>\nidentifies property being conveyed in addition to land<br \/>\nCovenant, or warrant, clauses. Covenant clauses present the grantor&#8217;s<br \/>\nassurances to the grantee. A deed of conveyance usually contains one or more of<br \/>\nthe following covenants, depending on the type of deed.<br \/>\n\uf034 Warrant of seisin<br \/>\nassures that the grantor owns the estate to be conveyed, and<br \/>\nhas the right to do so<br \/>\nChapter 6: Transferring and Recording Title 77<br \/>\n\uf034 Warrant of quiet enjoyment<br \/>\nassures that the grantee will not be disturbed by third party<br \/>\ntitle disputes<br \/>\n\uf034 Warrant of further assurance<br \/>\nassures that the grantor will assist in clearing any title<br \/>\nproblems discovered later<br \/>\n\uf034 Warranty forever; warranty of title<br \/>\nassures that the grantee will receive good title, and that grantor<br \/>\nwill assist in defending any claims to the contrary<br \/>\n\uf034 Warrant of encumbrances<br \/>\nassures that there are no encumbrances on the property except<br \/>\nthose expressly named<br \/>\n\uf034 Warranty against grantor&#8217;s acts<br \/>\nstates the assurance of a trustee, acting as grantor on behalf of the<br \/>\nowner, that nothing has been done to impair title during the<br \/>\nfiduciary period.<\/p>\n<p>4.Statutory Deeds<\/p>\n<p>A deed of conveyance can make a variety of warranties and convey a range of<br \/>\ninterests. The most common deeds are statutory deeds, in which the covenants<br \/>\nare defined in law and do not need to be fully stated in the deed. The prominent<br \/>\ntypes are the following.<br \/>\nBargain and sale deed. In a bargain and sale deed, the grantor covenants that<br \/>\nthe title is valid but may or may not warrant against encumbrances or promise to<br \/>\ndefend against claims by other parties. If there is a warrant of defense, the deed<br \/>\nis a full warranty bargain and sale deed.<br \/>\nThe overall bargain and sale covenant is: &#8220;I own, but won&#8217;t defend.&#8221;<br \/>\nGeneral warranty deed. The general warranty deed, or warranty deed for<br \/>\nshort, is the most commonly used deed. It contains the fullest possible assurances<br \/>\nof good title and protection for the grantee. The deed is technically a bargain and<br \/>\nsale deed in which the grantor promises to defend against any and all claims to<br \/>\nthe title.<br \/>\nThe overall general warranty covenant is: &#8220;I own and will defend.&#8221;<br \/>\nSpecial warranty deed. In a special warranty deed, the grantor warrants only<br \/>\nagainst title defects or encumbrances not noted on the deed that may have<br \/>\noccurred during the grantor&#8217;s period of ownership or trusteeship. The deed does<br \/>\nnot protect the grantee against claims that predate the owner&#8217;s period of<br \/>\nownership. Special warranty deeds are often used by trustees and grantors who<br \/>\nacquired the property through a tax sale.<\/p>\n<p>The overall special warranty covenant is: &#8220;I own and will defend against my<br \/>\nacts only.&#8221;<br \/>\nQuitclaim deed. A quitclaim deed transfers real and potential interests in a<br \/>\nproperty, whether an interest is known to exist or not. The grantor makes no<br \/>\nclaim to any interest in the property being conveyed and offers no warrants to<br \/>\nprotect the grantee.<br \/>\nThe quitclaim is typically used to clear title rather than convey it. Where there<br \/>\nis a possibility that prior errors in deeds or other recorded documents might<br \/>\ncloud (encumber) the title, the relevant parties execute a quitclaim deed to<br \/>\nconvey &#8220;any and all&#8221; interest to the grantee.<br \/>\nIf a party responsible for encumbering title refuses to quitclaim the interest, the<br \/>\nowner may file a quiet title suit. This requires the lienor to prove the validity of<br \/>\nan interest. If the defendant is unable to do so, the court removes the cloud by<br \/>\ndecree<\/p>\n<p>&nbsp;<\/p>\n<p>5.Special purpose<br \/>\ndeeds A special purpose deed is one tailored to the requirements of specific<br \/>\nparties, properties, and purposes. The principal types are:<br \/>\n\uf034 Personal representative&#8217;s deed<br \/>\nused by an executor to convey a decedent&#8217;s estate; also<br \/>\ncalled an executor&#8217;s deed<br \/>\n\uf034 Guardian&#8217;s deed<br \/>\nused by a court-appointed guardian to transfer property of<br \/>\nminors or mentally incompetent persons<br \/>\n\uf034 Sheriff&#8217;s deed<br \/>\nused to convey foreclosed property sold at public auction<br \/>\n\uf034 Deed of trust<br \/>\nused to convey property to a third party trustee as collateral for a<br \/>\nloan; on satisfaction of the loan terms, the trustee uses a<br \/>\nreconveyance deed to convey the property back to the borrower<br \/>\n\uf034 Deed in trust<br \/>\nused to convey property to the trustee of a land trust. not<br \/>\nto be confused with deed of trust<br \/>\n\uf034 Master deed<br \/>\nused to convey land to a condominium developer; accompanied<br \/>\nby the condominium declaration when recorded<br \/>\nChapter 6: Transferring and Recording Title 79<br \/>\n\uf034 Partition deed<br \/>\nused to convey co-owned property in compliance with a court<br \/>\norder resulting from a partition suit; a partition suit terminates<br \/>\nan estate when one or more co-owners want to dissolve their<br \/>\nrelationship and are unable to do so without the assistance of a<br \/>\ncourt.<br \/>\n\uf034 Patent deed<br \/>\nused to transfer government property to private parties<br \/>\n\uf034 Tax deed<br \/>\nused to convey property sold at a tax sale<\/p>\n<p>6.Transfer tax<\/p>\n<p>State law usually requires payment of a <span style=\"color: #ff0000;\">documentary stamp ta<\/span>x on a<br \/>\nconveyance of real property. The tax is based on the actual price of the property<br \/>\nconveyed, thus enabling taxing authorities to ascertain current market value for<br \/>\nad valorem tax purposes.
